ARTICLE I - NAME, OBJECTIVES AND PURPOSE ~~~ Revision: July 1994

Section 1
The name of this organization shall be the "Deep South Region of the North-South Skirmish Association, Inc", hereafter referred to as the 'Region'. The Region is a subdivision of the North-South Skirmish Association, Inc. (N-SSA). hereafter referred to as the "Association", as provided for and defined by the Association's By-Laws and such rules and regulations the Association may enact. Should any provisions in the By-Laws of the Deep South Region conflict with the By-laws of the North-South Skirmish Association or any rules or regulations adopted by it, then the provisions of the North-South SKirmish Association's documents shall prevail.

Section 2
The objectives of this organization are as follows:

A. To provide Region member organizations with a voice, to wit, the Region Coomander, in determining Association affairs by providing a representative to the Association's Board of Directors.

B. To provide a basis for conducting Region affairs and business.

C. To promote the shooting of Civil Var firearms and artillery, and to encourage the preservation and display of Civil War artifacts.

D. To conduct skirmishes in accordance with the rules of the N-SSA.

E. To educate the general public about the American Civil War, and the men, the marksmanship of the era, their firearms, their artillery, their uniforms, and the history.

F. To uphold our constitutional rights to keep and bear arms, by independent action and in cooperation with other organizations having the same objective.

G. To commorate the heroism of the men of both sides who fought in the Civil War, 1861-1865.

ARTICLE II - MEMBERSHIP

Section 1
The membership of the Deep South Region shall be comprised of organizations that are members In good standing of the North-South Skirmish Association and which have been assigned to the Deep South Region by the Board of Directors of the N-SSA.

Section 2
Types of Deep South Region organizations are as follows;

A. Member Organizations - Member organizations shall be those organizations which have been granted membership by the Board of Directors of the N-SSA. They shall have the following rights:

   1. To vote in the election of officers;

   2. To vote in the amending, repeal or adoption of By-laws.

   3. To participate in all Region Activities,

B. Probationary Member Organizations; a Probationary Member Organization is one which has been granted that status by the Board of Directors of the N-SSA. It shall have the privileges of competition of a member organization, but shall have no vote or voice in Deep South Region matters.

ARTICLE III - OFFICERS AND EXECUTIVE COMMITTEE

Section 1
Officers of the Deep South Region shall be President, Vice President, Secretary, Treasurer and Inspector, holding the titles of Commander, Deputy Commander, Adjutant, Paymaster and Inspector, respectively, and shall constitute the Region Executive Committee. They shall be elected for terms of two years or until their successors are elected from members of Region Organizations in good standing. Election shall be by affirmative vote of a simple majority of the member organizations of the Region. They shall receive no compensation except reimbursement for expenditures previously approved by the Region Executive Committee or Board of Directors.

Section 2
The Region Executive Committee, made up of the elected officials of the Region as named in Section 1, shall conduct the day to day business of the Region in accordance with these By-Laws.

Section 3
Officers and their Duties:

PRESIDENT, having the title of COMMANDER, shall

(1) preside at meetings of the Region membership, the Region Executive Committee, and Region Board of Directors;

(2) serve as a member ex officio of all regular and special committees which are appointed except the Nominating and Elections committees;

(3) serve as Region representative to the Board of Directors of the Association and shall perform all duties in that capacity as required and defined in the By-Laws of the Association;

(4) serve as chief administrative officer and will assure the Region's compliance with the By-Laws and the Skirmish Rules of the Association;

(5) perform all duties usually pertaining to the office of President and such other duties as may be given him by these By-Laws.

VICE PRESIDENT, having the title of Deputy Camander, shall

(1) perform the duties of the Commander in his absence or at his request and any other duties that the Comnander may assign him.

SECRETARY, having the title of ADJUTANT, shall

(1) conduct all official correspondence at the direction of the Commander;

(2) keep all records of Region business except as herein delegated to others;

(3) act as Secretary at meetings of the Region;

(4) maintain a roster of Region member organizations and their officers, of committee chairmen and staff officers;

(5) and perform other duties as normally required of the office of Secretary.

TREASURER, having the title of PAYMASTER, shall

(1) perform normal duties of Treasurer;

(2) collect all dues and other funds due to the Region;

(3) serve as custodian of all Region funds;

(4) disburse funds as directed by the Executive Committee;

(5) keep an accurate record of all funds received and disbursed and submit an accounting at every scheduled meeting.

INSPECTOR shall

(1) Inspect arms, accoutrements, and uniforms to determine that participating organizations of official Region skirmishes fully comply with the By-Laws and Skirmish Rules of the Association;

(2) shall conduct preliminary inspections of all probationary organizations assigned to this Region prior to their participation at Region or National Skirmishes and shall report and make recommendations as to their qualifications for membership to the Inspector General;

(3) shall assist the National Inspector General at National Skirmishes. He may appoint assistants from the membership as necessary in the performance of his duties.

Section 4
Vacancies created by the resignation, expulsion, or other incapacitation of any officer shall be filled for the balance of the unexplred term by nomination and vote as would suffice for election to that office by the Region within 30 days of the vacancy at a regular meeting or a special meeting called for that purpose.

ARTICLE IV - BOARD OF DIRECTORS

Section 1
The Board of Directors shall consist of the Commander, Deputy Commander, Adjutant, Paymaster and Inspector and the Commander of each member organization in good standing.

Section 2
The Board of Directors shall determine all questions of policy, and shall be the governing body of the Deep South Region. In this respect it shall be limited and bound by the provisions of these By-laws. A quorum shall be not less that one-half of the Board Members. Members of the Executive Committee may not vote by proxy.

Section 3
The Board of Directors shall approve all expenditures of region funds.

ARTICLE V - ELECTION OF REGION OFFICERS

Section 1
Elections of officers shall be held every two years, on odd numbered years, at a meeting called for that purpose at the September skirmish. Regular business may be also conducted. The incumbent Region Adjutant shall notify the Association Adjutant of the results of the elections within two weeks of the elections. If a September skirmish is not held, then a time and place for the election to correspond as nearly as possible to the time the election would have been held will be set by the Region Board of Directors for that purpose.

Section 2
A Nominating Committee of no less than three persons will be established by the Region Commander at least 90 days prior to the Region elections. This committee's duty is to report the names of at least two member candidates, each candidate providing a biographical sketch, who are willing to run for each office. These persons should each be nominated in writing by at least one Region organization in good standing.

Section 3
Member organizations will be notified by the Region Adjutant of the names of each nominee with the biographical sketch at least 30 days prior to the election date.

Section 4
Nominations for Region Office may be made from the floor at the election meeting.

Section 5
The newly elected officers will take their offices on January 1 following their election.

Section 6
Voting may be by mail to the Region Adjutant if the member organization is unable to attend the meeting or by proxy to another member organization. In no event may a member unit vote more than one proxy for a unit unable to attend the meeting. The mail ballot must reach the Adjutant at least 10 days prior to the meeting in order that it might be counted.

Section 7
A majority of votes cast for office shall be required to elect a candidate to that office.



ARTICLE VI - DUES

Section 1
Payment of dues from member organizations shall be as follows:

A. Each member organization shall pay dues of $10.00 per year per member, payable December 1 of each year for the following year. A Xeox or similar copy of the organization's N-SSA roster must accompany the dues payment.

B. A member organization shall pay dues of $10.00 for each new member added to its roster, payable at the time of enrollment, unless such member is a transfer from another organization within the Deep South Region and his dues for that year have already been paid. Dues will not be pro-rated.

C. The penalty for late registration, either of an organization or of a member, shall be $3.00 per member.

Section 2
No member organization shall be in good standing, or be qualified to exercise or receive privileges or benefits of membership, or be qualified to participate in official skirmishes, if it is in default of its dues and/or authorized assessments to the N-SSA or to the Deep South Region for a period exceeding one month. Upon payment of late dues and penalties, the organization shall be considered in good standing and all privileges of membership shall be restored. If the organization fails to pay its Deep South Region dues for one year, the Board of Directors shall petition the N-SSA Board of Directors to drop the organization from membership in the N-SSA.

ARTICLE VII - RECALL, SUSPENSION AND EXPULSION

Section 1
A Region officer may be removed from office at a meeting expressly called for that purpose by an affirmative vote of two-thirds of the member organizations in good standing. No vote of removal may be taken unless at least 30 days notice in writing shall have been given to the officer of the charge(s) against him/her and of the time, date, and place of the special meeting for that purpose. At that meeting, the officer shall be given a full hearing. Charges may be made by a Region member organization in good standing, by the Executive Committee or the Board of Directors.

Section 2
The Commander shall call and chair the meeting. In the event the Commander and other officers are charged, the succeeding uncharged officer shall serve as chairman.

Section 3
Upon receipt of written notice of the charges, the remaining Executive Committee members shall within 5 days determine whether the charges justify immediate suspension, and if so, the officer shall be suspended until the meeting as called above resolves the charges.

ARTICLE VIII - AMENDMENTS

Section 1
Amendments to these By-laws may be Initiated by any member organization In good standing or by a member of the Board of Directors, but must be submitted to the Executive Committee in writing for approval by the Executive Committee before being brought to a vote of the member organizations. In the event of rejection by the Executive Committee, a proposed amendment may be submitted to a vote upon petition of one-third of the member organizations in good standing.

Section 2
Amendments to these By-laws shall be made only by a vote of the member organizations In good standing. Voting shall take place at a membership meeting or by mail ballot, the method to be determined by the Executive Committee. A special meeting shall be called by the Executive Committee only If the question Is controversial and warrants discussion, or if any emergency exists. An affirmative vote of three-fifths of the member organizations shall be required to adopt an amendment. In the event of a mail ballot, the Adjutant shall notify the member organizations of the question no less than thirty days before the ballot is due. In the event of a vote at a meeting, he shall notify the member organizations of the question and the date, time and place of the meeting no less than 30 days prior to the meeting. Mail ballots must be postmarked on or before the date on which the ballot is due. The Adjutant shall notify the member organizations as soon as the results of the voting are known.

ARTICLE IX - MEETINGS, QUORUM AND VOTING

Section 1
Meetings of the Board of Directors shall be held at least three times per year, the time and place to be determined by the Commander. The Commander shall make every effort to have the Board of Directors meetings at Region Skirmishes.

Section 2
Special meetings of the Board of .Directors may be called by the Commander or by a call of the majority of the members of the Board. Ten days notice must be given the members of the date, time and place of the meeting.

Section 3
Each member organization in good standing shall have one vote in the election of officers, or in all other matters brought to a vote except matters relating to a skirmish in progress. In matters relating to that skirmish, each member organization shall have one vote for each musket company it registers at that skirmish. If the question at that skirmish relates to carbine companies or artillery matches, an organization shall have one vote for each carbine company or each registered artillery piece. The team commander or his designated representative shall cast the vote or votes for that team.

Section 4
The rules of procedure contained in Robert's Rules of Order, latest edition, shall govern meetings of this organization in all cases where they are applicable and which are not in conflict with these By-Laws.

Section 5
Voting by proxy shall be allowed at membership meetings only, and not at meetings of the Board of Directors. A member organization wishing to send its proxy must notify the Adjutant of that fact in writing, and must designate the organization whose representative is authorized to exercise its proxy. This written notice must be in the hands of the Adjutant before the start of the meeting, and it is his responsibility to notify the presiding officer. A proxy shall be good for one meeting only, and may be given only to a member organization in good standing which is eligible to vote at the meeting. A member organization may hold the proxy of only one other member organization at a meeting.

Section 6
A roll call vote shall be conducted at a meeting of the Board of Directors upon the request of at least one-third of the members present. At all other meetings, an affirmative vote of at least one half of the members present is required.

Section 7
A quorum for any meeting shall be one-half of the member organizations, represented in person not by proxy.
